Acceptance of Terms
By accessing or using the services provided by Long Island Web Design ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and Long Island Web Design.
Our Services
Long Island Web Design provides professional web design, development, SEO, and digital marketing services, including but not limited to:
- Website design and development
- E-commerce solutions
- Search engine optimization (SEO)
- Pay-per-click (PPC) advertising management
- Social media marketing
- Content creation and marketing
- Website maintenance and support
- Branding and graphic design
Specific deliverables, timelines, and pricing will be outlined in individual project proposals or contracts.
Client Responsibilities
To ensure successful project completion, you agree to:
- Provide accurate and complete information necessary for the project
- Supply all required content, images, and materials in a timely manner
- Review and provide feedback within agreed-upon timeframes
- Ensure you have the rights to use all materials provided to us
- Designate a primary point of contact for project communications
- Make timely payments as outlined in the project agreement
Note: Delays in providing materials or feedback may result in extended project timelines and potential additional costs.
Payment Terms
Deposits & Payments
- A deposit (typically 50%) is required before project work begins
- Final payment is due upon project completion, before website launch
- Monthly service fees (if applicable) are billed in advance
Late Payments
- Invoices are due within 15 days of receipt unless otherwise specified
- Late payments may incur a fee of 1.5% per month
- We reserve the right to suspend services for accounts past due
Refunds
Deposits are non-refundable once work has commenced. Refunds for unused services will be evaluated on a case-by-case basis.
Intellectual Property
Client Ownership
Upon full payment, you will own:
- Custom design elements created specifically for your project
- Custom code and functionality developed for your website
- Content you provided or that was created for you
Company Retention
We retain rights to:
- Display the work in our portfolio and marketing materials
- Reuse general coding techniques, frameworks, and methodologies
- Any proprietary tools, templates, or systems we've developed
Third-Party Assets
Stock images, fonts, plugins, and third-party tools are subject to their respective licenses. We will inform you of any licensing requirements or recurring fees.
Project Timeline
Project timelines are estimates based on the agreed-upon scope of work. Actual completion dates depend on:
- Timely receipt of content and materials from the client
- Prompt feedback and approvals
- Scope remaining consistent with the original agreement
We will communicate any anticipated delays and work with you to adjust timelines as needed.
Revisions & Changes
Included Revisions
Most projects include a specified number of revision rounds as outlined in your proposal. Revisions must be submitted in consolidated feedback to ensure efficiency.
Additional Revisions
Revisions beyond the included rounds or significant scope changes will be billed at our standard hourly rate or as a separate project estimate.
Scope Changes
Requests that significantly change the project scope will require a revised proposal with updated pricing and timeline.
Warranties & Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.
Disclaimer
EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
No Guarantee of Results
While we employ industry best practices, we cannot guarantee specific outcomes such as:
- Search engine rankings or traffic increases
- Conversion rates or sales performance
- Return on investment or revenue generation
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LONG ISLAND WEB DESIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising from our services shall not exceed the amount paid by you for the specific services giving rise to the claim.
Termination
By Client
You may terminate services at any time by providing written notice. You will be responsible for payment of all work completed up to the termination date.
By Company
We may terminate services if:
- Payment is not received within 30 days of the due date
- You breach any material term of these Terms
- You fail to provide necessary materials or feedback after reasonable requests
Effect of Termination
Upon termination, all completed work will be delivered upon receipt of payment for work performed. Any prepaid fees for uncompleted work may be refunded at our discretion.
Indemnification
You agree to indemnify and hold harmless Long Island Web Design, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:
- Your breach of these Terms
- Your use of our services
- Content or materials you provide that infringe third-party rights
- Any violation of applicable laws or regulations
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Suffolk County, New York.
